Hello and welcome! We're thrilled to have you on the Prismique Network. These Terms & Conditions outline what it takes for the success of our partnership. Please take a moment to read them carefully.
By signing up as an advertiser ("Advertiser") or placing a data order as a lead buyer ("Buyer") on the Prismique platform, you (“Client”) agree to the terms and conditions set forth below by Prismique Limited (“Prismique”). These Terms & Conditions are designed to govern all performance-based marketing campaigns. Where individual Insertion Orders (IOs) apply, any conflicts between these Terms and the IO shall be governed by the IO.
Clients agree to engage in performance-based marketing with Prismique as per these Terms and any applicable IOs.
Advertisers are responsible for the compliance, legality, and accuracy of their products and advertising materials. Buyers are responsible for the legal and appropriate handling of consumer data in accordance with the applicable laws and regulations.
• Buyer: The entity using Prismique's platform to acquire consumer data for their sales activities.
• Client: An Advertiser or Buyer utilizing Prismique's services.
• Platform: The tracking system where campaign metrics, payments, and materials are stored and managed.
• Insertion Order or IO: Agreement outlining the details and specifications of the service.
• Conversion: An end-user action as defined in the IO, such as a product purchase or registration.
• Lead: The collection of consumer data, including but not limited to contact information.
• Advertising Materials: Content provided by the Client, including banners, text, images, videos, and links.
• Campaign: Marketing activities Prismique carries out for the Client, as specified in each IO.
• Media: Ad placements purchased on behalf of the Client.
Unless expressly prohibited in writing, Prismique is authorized to utilize content, display, email, native, push, search, SMS, social, and other promotional methods to advertise Client campaigns. Traffic types prohibited by default include bot, adult, adware, spyware, and toolbar traffic.
If stated in an IO, Prismique may hold an exclusive right to serve as the Client's affiliate marketing provider. This exclusivity prevents the Client from engaging any other traffic supplier, affiliate, affiliate network or commission-based traffic source without prior approval. Prismique reserves the right to claim commissions for all sales generated from unauthorized sources. The exclusivity here described does not include public relations or content marketing efforts, unless specifically noted in the IO. This exclusivity lasts for the entire term of the IO and, if terminated, the Client must still adhere to the non-solicitation terms outlined below.
For one (1) year following the termination of this Agreement, the Client agrees not to directly or indirectly solicit Prismique’s affiliates or engage with competing services that impact Prismique’s proprietary relationships.
Clients can monitor real-time campaign metrics through the Platform. Commissions are confirmed within five (5) business days after each reporting period. Any deductions must be substantiated and communicated in writing to Prismique during this confirmation window. Prismique will consider all unchallenged commissions as payable.
Payments are due weekly, covering commissions accrued from Monday to Sunday, and must be settled within seven (7) days from the close of each week (Sunday). Any different payment arrangement must be agreed upon in the IO. Delayed payments may incur a penalty of 1.5% per month or the maximum allowable by law, whichever is lower. The Client shall bear all transfer costs associated with payments to Prismique when those are carried out via bank or cryptocurrency transfer.
Prismique may require a prepayment to fulfill trial orders and/or orders bound by a date, value or volume limit. In such case, Prismique reserves the right to initiate its services no earlier than the receipt of payment and to carry out delivery to the extent of the amount received by its bank or payment institution. Clients having a prepaid order unfulfilled may request a refund of the remaining balance no earlier than one (1) month from the date of payment receipt by Prismique. Prismique reserves the right to withhold up to five percent (5%) of the refunded balance to offset expenses incurred in the planning and fulfillment of the order.
Campaign specifications are set in each IO. Clients may amend these specifications by written notice, with changes taking effect within one (1) business day. All conversions recorded and leads distributed before the effective date of changes remain acceptable and payable under these Terms or those of the IO.
This Agreement may be terminated by either party with a minimum of one (1) business day’s notice, during which period any generated conversions or leads shall be acceptable and payable under these Terms or those of the IO, or immediately upon a material breach of terms.
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. In the event of disputes that are unresolved between the parties or through mediation, the parties agree to the exclusive jurisdiction of the UK courts.
Prismique reserves the right to update or amend these Terms & Conditions. Clients shall be notified of any substantial changes.
By using Prismique's services and/or the Prismique platform, Advertisers and Buyers accept and agree to these Terms & Conditions.
